I- MEMBERSHIP - ASSIGNMENT - JURISDICTION
Any order implies unconditional acceptance of these terms and conditions, unless otherwise stipulated in writing by CHAPUIS-COMOY & Cie SARL. Acceptance of our general terms and conditions of sale once is considered acceptance for the entire duration of our business relationship.
In case of any dispute, the Commercial Court of the registered office of CHAPUIS-COMOY & Cie SARL will have exclusive jurisdiction.
In the event of a dispute regarding an international order, the party expressly accepts the jurisdiction of the French courts, subject to mandatory local laws.
II- PRICES
Our goods are sold at the rate in effect on the day the order is placed. The sales prices indicated in this price list are exclusive of taxes, ex-works, and exclude shipping costs, unless otherwise specified in our agreements or order confirmation. Shipping costs, packaging fees, and VAT are invoiced in addition (at the rate in effect on the day of delivery).
All prices are quoted in euros (€), unless otherwise stated. Customs duties, local taxes, and any similar fees applicable in the destination country are the responsibility of the buyer and must be paid upon receipt of the goods.
III- DELIVERY TIME
The delivery times for any order are given as an indication. Under no circumstances shall exceeding these deadlines lead to order cancellation or entitle the Customer to withholding or damages.
Delivery times may be extended due to customs procedures in the importing country. CHAPUIS-COMOY & Cie SARL cannot be held responsible for any delays caused by customs constraints or delays from international carriers.
IV- SHIPPING – TRANSPORT COSTS
Shipments are always at the sender's own risk. We remind customers not to omit verifying the condition of the packages upon receipt before signing off with the carrier. In the event of any shortages or damages, it is the recipient's responsibility to make any necessary reservations with the carrier upon receipt of the goods and to inform us promptly.
The costs related to transport and delivery of goods sold "ex works" are the responsibility of the customer. The shipping fees will be charged to the customer based on the weight of the package.
If the buyer chooses to pick up the goods at their own expense, they assume all risks associated with the transport, including insurance, from the moment the goods are made available for pickup.
Delivery costs, as well as customs duties and local taxes, will be borne by the buyer, in accordance with the regulations in the destination country. The buyer is responsible for verifying the import requirements.
V- COMPLAINTS
We guarantee our goods against any real manufacturing defects, and this guarantee is limited to the free replacement of the parts recognized as defective. No return of defective goods will be accepted without prior express agreement from our company obtained by the customer.
Returns will be subject to either a replacement of goods or a credit note if the product is unavailable.
Any complaint regarding the nature, quality, or composition of our shipments that is not received within three days following delivery will be considered null and void.
Complaints must specify the product reference, description, delivery note number, and, if possible, include photos.
In the event of a complaint for an international order, the buyer must follow the complaint procedure within 14 days following receipt of the goods. Return costs may be the responsibility of the buyer, except in the case of defective products.
VI- RESERVATION OF OWNERSHIP
In accordance with Law No. 80-335 of May 12, 1980, the goods delivered remain the property of CHAPUIS-COMOY & Cie SARL until full payment of their price by the buyer.
French law applies to this reservation of ownership, but local legislation regarding reservations of ownership may vary. The buyer agrees to comply with the applicable local laws in their country.
VII- PAYMENT
The agreed payment period between the parties may not exceed sixty days net from the date of invoice issuance or, by way of exception, forty-five days end of month.
In accordance with Article L.441-10 of the French Commercial Code, in case of late payment, late payment penalties will be automatically due, without the need for a reminder. The late payment penalty rate is equal to three times the legal interest rate in effect.
A fixed compensation fee of 40 euros may also be applied to cover recovery costs.
International payments must be made in euros or according to the terms agreed upon at the time of the order. Bank charges related to international payments (transfer fees or others) are the responsibility of the buyer.
VIII- DISPUTES
Orders sent to CHAPUIS-COMOY & Cie SARL imply acceptance of these general terms and conditions of sale.
Any dispute shall fall under the jurisdiction of the Commercial Court of Lons-le-Saunier.
In the case of an international dispute, French law applies, and judicial competence lies with the competent courts in France, subject to mandatory local laws that may apply in certain countries.
